Commercial Structure

$25,000 / month · Six-month initial term · Invoiced biweekly, Net 15

W-9 and invoicing issued under SlayCorp Management Services LLC. Engagement structured as an independent contractor services agreement (1099-NEC). Business travel billed separately at cost with written pre-approval.

Contract Terms
Contract Duration Six (6) months from executed start date. The initial term represents a minimum commitment period; neither party may terminate prior to the 90-day review without mutual written consent, except in cases of material breach.
Engagement Structure Independent Contractor Services Agreement — SlayCorp Management Services LLC (1099-NEC). SlayCorp is engaged as an independent business entity, not as an employee or agent of Nuclearn.ai. Nuclearn.ai directs the outcomes and acceptance criteria of deliverables; it does not direct the means, methods, schedule, or tools by which SlayCorp performs its work.
Independent Operations SlayCorp retains the right to engage other clients during the term of this agreement, provided such engagements do not create a conflict of interest or require disclosure of Nuclearn.ai confidential information. SlayCorp is solely responsible for its own taxes, insurance, benefits, and operating expenses. Nuclearn.ai exercises no control over SlayCorp's internal staffing, tools, schedule, or work methods.
Invoicing Biweekly, Net 15 from invoice receipt. Invoices issued by SlayCorp Management Services LLC.
Business Travel Billed at cost with receipts; written pre-approval required. Travel is at SlayCorp's discretion as required to fulfill contracted deliverables.
Intellectual Property All client-facing work product and deliverables produced under this agreement become the sole property of Nuclearn.ai upon payment of the invoice in which the deliverable is included. SlayCorp retains ownership of its proprietary methodologies, frameworks, templates, and tools used in the delivery of services, which are licensed — not transferred — to Nuclearn.ai for the duration of this engagement.
Confidentiality SlayCorp agrees to maintain strict confidentiality of all proprietary, technical, operational, and financial information disclosed by Nuclearn.ai during the engagement. This obligation survives termination of the agreement for a period of two (2) years.
Termination for Convenience After the 90-day minimum commitment period, either party may terminate with 30 days written notice. In the event of termination, Nuclearn.ai shall pay all fees invoiced through the termination date, plus a pro-rated fee for any deliverable in progress at the time of notice.
Termination for Cause Either party may terminate immediately upon written notice in the event of material breach that remains uncured for 10 business days following written notice of the breach.
Limitation of Liability SlayCorp's total liability under this agreement shall not exceed the total fees paid in the three (3) months preceding the claim. Neither party shall be liable for indirect, consequential, or punitive damages.
Governing Law State of Arizona. Disputes shall be resolved through binding arbitration under AAA Commercial Rules before any litigation is initiated.
Eligibility SlayCorp's principal holds U.S. citizenship, satisfying DOE export compliance and nuclear facility access requirements applicable to this engagement.

Statement of Deliverables

The following deliverables define the work product SlayCorp will produce under this agreement. Each item represents a discrete, client-owned output. SlayCorp determines the means and methods of producing these deliverables independently; Nuclearn.ai approves or rejects based on the acceptance criteria stated below. Each deliverable includes one round of revisions based on written feedback from a single designated Nuclearn.ai reviewer. Additional revision rounds are subject to a change order.

Deliverable Work Product & Acceptance Criteria
Implementation Audit & Action Plan A written audit of the active customer implementation queue, documenting current delivery gaps, schedule risks, and resource constraints across all deployment models. Delivered within 30 days of engagement start. Accepted upon receipt of a prioritized action plan with defined Time-to-Value targets for each in-flight project.
Implementation Playbook A documented, repeatable implementation framework covering all three deployment models — on-premises (customer hardware), on-premises (Nuclearn hardware), and cloud-hosted. Includes project plan templates, RACI charts, milestone gates, and handoff criteria from post-sale kickoff through go-live. Delivered as a structured, version-controlled document transferable to Nuclearn.ai's internal systems.
Continuous Integration Framework A written framework defining how customers transition from initial deployment into an ongoing data integration program. Includes phase definitions, success metrics, expansion triggers, and a recommended handoff model between SlayCorp-managed delivery and Nuclearn.ai's Customer Success function. Delivered as a client-owned operational document.
Customer Governance Package Per active implementation: a project charter, stakeholder RACI, milestone schedule, and status reporting cadence — delivered at kickoff and maintained through go-live. Includes periodic executive-level progress summaries issued to Nuclearn.ai leadership on a cadence agreed at engagement start.
Product Operating Model Assessment A written assessment of the current product organization's operational structure — covering team roles, delivery cadence, tooling, and cross-functional coordination — with a set of prioritized recommendations appropriate for an AI-native SaaS business at this stage of growth. Delivered as a standalone document; implementation of recommendations subject to separate agreement.

Client-facing work product becomes the property of Nuclearn.ai upon payment. SlayCorp's proprietary delivery frameworks, templates, and methodologies embedded in these deliverables remain the intellectual property of SlayCorp Management Services LLC and are licensed to Nuclearn.ai for internal operational use only. A formal Statement of Work (SOW) detailing delivery sequencing, revision terms, and change order procedures will be executed prior to engagement start.

Operating Activities & Performance Measurement

The following describes SlayCorp's proprietary delivery methodology — the operational practices SlayCorp deploys independently to produce the contracted outcomes in Section 07. Nuclearn.ai does not direct these activities; it receives their outputs. SlayCorp manages prioritization and sequencing of work necessary to produce the contracted deliverables. Baselines will be established within the first 30 days by mutual agreement. Performance against these metrics will be reported at the 90-day review and at engagement close.

Cross-Functional Delivery Cadence SlayCorp's implementation methodology includes a structured cross-functional coordination cadence — a weekly sync SlayCorp designs, facilitates, and owns across Engineering, Infrastructure, Security, and Customer Success, including the customer's IT counterparts where applicable. SlayCorp produces the agenda, maintains the action log, and manages the escalation path as part of its delivery practice. This cadence is a SlayCorp-owned instrument for producing the Implementation Playbook and Customer Governance Package outcomes. Count of open cross-functional blockers per week. Mean days to resolve. Target: 40% reduction in open items within 60 days of cadence launch.
TTV & Scope Tracking SlayCorp applies a scope confirmation checkpoint at every implementation kickoff as part of its standard delivery methodology. SlayCorp independently maintains a sold scope vs. delivered scope tracker per project and produces variance reporting as a contracted output — delivered to Nuclearn.ai's designated reviewers on a cadence SlayCorp determines is appropriate to maintain project integrity. % of implementations closing at full sold scope. Scope variance rate by project. Target: reduce scope slippage by 25% over the engagement term.
Customer Onboarding Satisfaction SlayCorp's delivery methodology includes a post-go-live feedback loop — a structured survey and debrief process SlayCorp designs and administers independently at the close of each implementation. SlayCorp analyzes findings and incorporates them into its own playbook iteration cycle. Aggregated satisfaction data is reported to Nuclearn.ai as part of the monthly performance dashboard. CSAT score at go-live. % customers completing onboarding within the target window. If no baseline exists, the first 90-day cohort establishes it. Target: measurable improvement by Month 6.
Security & Procurement Cycle Management SlayCorp's implementation methodology includes facility-specific security and IT procurement cycle mapping — a process SlayCorp applies independently at project initiation to identify review timelines, build compliance milestones into project plans, and proactively engage customer IT security stakeholders. This practice is part of SlayCorp's risk management methodology, not a task direction from Nuclearn.ai. % of implementations where security or procurement review caused a go-live delay. Target: eliminate security/procurement-caused delays as a top-3 TTV driver within 6 months.
Continuous Integration Enrollment SlayCorp's post-go-live methodology includes a structured customer transition process — a handoff practice SlayCorp develops and deploys independently to move completed implementations into the continuous integration program. SlayCorp produces the enrollment session, confirms data integration milestones with the customer, and delivers expansion trigger intelligence to Nuclearn.ai's Customer Success and Sales functions as a contracted reporting output. % of go-live customers enrolled in the continuous integration program within 30 days of go-live. New expansion opportunities surfaced per cohort. Target: first cohort enrolled within 90 days of framework delivery.
Playbook Adoption & Iteration SlayCorp deploys a playbook orientation as part of its standard implementation methodology onboarding — a structured knowledge transfer SlayCorp designs and delivers independently to Engineering and Customer Success within the first 60 days. Playbook iteration is driven by SlayCorp's own retrospective practice; updates are issued as versioned deliverables under the Implementation Playbook line item, not as directed revisions from Nuclearn.ai. % of new implementations started on-playbook. Playbook iteration frequency. Target: 100% of new implementations on-playbook by Month 3.

SlayCorp will produce and deliver a performance dashboard covering these metrics on a cadence SlayCorp determines appropriate — no less than monthly. The dashboard is a contracted deliverable issued to Nuclearn.ai's designated leadership contacts. Nuclearn.ai does not direct the format, tools, or process by which SlayCorp produces this reporting.
